Terms of Service
These Terms of Service ("Terms") govern access to and use of the Sredible platform and website operated by Sredible Inc. ("Sredible," "we," "us," or "our"). By creating an account or using the service, you agree to these Terms.
Agreement to these terms
If you use Sredible on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization. If you do not agree to these Terms, do not use the service.
Accounts and eligibility
You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account and for ensuring that users you invite comply with these Terms and applicable law.
The platform is intended for business use in connection with SR&ED and related claim work. You must be able to form a binding contract under the laws that apply to you.
The Sredible service
Sredible provides software tools to help consultants, firms, and companies prepare, collaborate on, and manage SR&ED claim materials. We may update, improve, or discontinue features with reasonable notice where practical. The service is not a substitute for professional tax, legal, or accounting advice, and you remain responsible for the accuracy and filing of any claims submitted to tax authorities.
Acceptable use
You agree not to:
- misuse the platform, attempt unauthorized access, or interfere with its operation or security
- upload unlawful, infringing, or harmful content, or content you do not have rights to use
- use the service to violate export, privacy, or other applicable laws
- resell, sublicense, or provide the service to third parties except as expressly permitted in your plan
Fees and billing
Paid plans are billed according to the pricing and terms shown at purchase or in your order form. Fees are generally non-refundable except where required by law or expressly stated otherwise. You authorize us (and our payment processors) to charge applicable fees and taxes. Failure to pay may result in suspension or termination of access.
Confidentiality and data
Claim and client data you submit is treated as confidential and processed as described in our Privacy Policy. You retain ownership of your content. You grant Sredible a limited license to host, process, and display that content solely to provide and improve the service for you.
Intellectual property
Sredible and its licensors own the platform, branding, software, and related intellectual property. These Terms do not transfer ownership of that IP to you. Feedback you provide may be used by Sredible without obligation to you.
Disclaimers and liability
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted or error-free, or that claim outcomes with tax authorities are guaranteed.
To the fullest extent permitted by law, Sredible's total liability arising out of these Terms or the service is limited to the amounts you paid us for the service in the twelve (12) months before the claim. We are not liable for indirect, incidental, special, consequential, or lost-profit damages.
Suspension and termination
You may stop using the service at any time. We may suspend or terminate access if you breach these Terms, fail to pay fees, or if needed to protect the service or other users. Provisions that by nature should survive (including confidentiality, IP, disclaimers, and liability limits) will survive termination.
Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
